Mattos Filho, Pinheiro Neto and Spinelli in 3R Petroleum-Enauta merger

On Tuesday, April 9, oil companies 3R Petroleum and Enauta announced the signing of a memorandum of understanding for the merger of the two firms.
3R Petroleum is represented by Spinelli Advogados and Mattos Filho, while Pinheiro Neto Advogadosrepresents Enauta. Machado Meyer acted for Maha Energy.
The deal involves the acquisition of all Enauta shares by 3R, with subsequent allocation of 3R shares to Enauta shareholders. The market value of the new company is estimated to be around 16 billion reais. 3R shareholders will own a 53% stake in the new entity, with the remainder allocated to Enauta’s shareholders, though these stakes may be adjusted.
